Duyselshof Auction 2017
General Terms & Conditions

Of the private limited company with limited liability Stoeterij Duyselshof B.V., domiciled in Hoogeloon (Cr number 22028794), registered at the Chambre of Commerce.


1. General
1.1 In these Terms & Conditions the following definitions are applicable: 

General Terms & Conditions: these General Terms & Conditions which are applicable for all auctions via www.duyselshof.auction

Bidder: the legal body/person who registers or has registered on www.duyselshof.auction in a way such as set out by Duyselshof to be able to participate in an Auction.

Bid: the amount offered for a horse by bidder in an auction which is to be increased with taxes and auction costs (including but not restricted to auction costs and 21% VAT).

Duyselshof: Stoeterij Duyselshof B.V. and/or the affiliated companies such as mentioned on the auction website facilitating this Auction.

Buyer: the bidder to whom Allocation took place.

Horse: identified for descent, gender, colour and year of birth, such as reported in the Auction.

Allocation: the explicit statement from Duyselshof to the Buyer that the Horse on which a bid is made by Buyer is allocated to the Buyer. This statement is valid as an acceptance according to article 6:217 Burgerlijk Wetboek. 

Auction: the online auction via auction website www.duyselshof.auction for the sale of one or more Horses.

Auction costs: the costs that a Buyer owes to Duyselshof for the participation in an Auction and which are mentioned on the website www.duyselshof.auction.

Auctioneer: the person who is performing (legal) actions on behalf of Duyselshof in the function as auctioneer.

1.2.  Duyselshof retains the right to change these General Terms & Conditions. These changes will be applicable immediately after it’s first publication on the website www.duyselshof.auction

1.3.  In case any provision of these General Terms & Conditions is void or is declared void, the remaining provisions in the General Terms & Conditions will remain valid. Duyselshof will replace the relevant provision with an enforceable and feasible provision that does not differ more than necessary from the original provision, given the purpose and intent of these general Terns & Conditions. 

1.4.  Duyselshof is authorized at any time to sell, delegate, burden or alienate otherwise her rights and/or obligations under the agreement and/or the rights concerning the Horses completely or partially (whether or not by means of take over of contract). 


2. Applicability of General Terms & Conditions
2.1.  These General Terms and Conditions are to be applied to all Auctions. Participating in this Auctions implies the examination and acceptance of these General Terms & Conditions explicitly and without reservations. Deviations from and/or additions to these General Terms & Conditions only are valid in case these have been agreed on explicitly and in written by parties concerned. 

2.2.  When Bidder participates in an Auction, Bidder acknowledges that he/she has received, understood and accepted these General Terms & Conditions. At request from the Bidder these General Terms & Conditions will be send free of charge to the bidder by e-mail or any other way.
 

3. Functioning of Auctionsite
3.1.  The Bidder guarantees at any time the correctness and completeness of the information as provided by himself. The username and password that the Bidder is using in the Auction are private and confidential. The bidder is not allowed to transfer these to a third party. All bids have to be made digital.

3.2.  The website will state an indicative closing time of the Auction per Horse. If, however, a bid is made for a Horse in the last 5 minutes before the closing time of this, the Auction for the Horse in question will be automatically extended by 5 minutes. The extended time will be the new indicative closing time.

3.3.  Any Bidder is bidding for one’s own expense and risk and will be held to his/her bid until any higher bid has been received.

3.4.  A Bidder cannot appeal to bidding-, typing- or any other mistakes when making a Bid.

3.5.  The Bidder accepts the exceptional circumstances that could occur in an Auction such as technical deficiencies  causing the situation that a bid cannot be made in time. 

3.6.  Duyselshof is entitled to suspend, defer or cancel an Auction. Further Duyselshof can use her authority to extend an Auction.  

3.7.  The Auction is under supervision of an Auctioneer appointed by Duyselshof and decides in first and last instance all disputes that could arise during the Auction concerning the process of the auction.


4. Realization of agreement 
4.1.  When a Bidder is making a Bid, this Bid is estimated as an offer in the sense of article 7:217 BW. A Bidder is bound to a Bid that is estimated irrevocable and unconditional. Every Bidder who is making a Bid is considered to be bidding for oneself and is committed to Duyselshof personally, and after allocation, to the obligations resulting from his/her Bid. This also applies in case a Bidder declares that he/she has taken action on behalf of a third party.

4.2.  The sale is realized by means of an Auction and Allocation to the highest bidder after settlement of the purchase price, to be increased with 21% VAT and the auction costs. Bids and payments are in Euro.

4.3.  In case the Buyer is a natural person, who acts for purposes not concerning his/her business- or professional activity, the Buyer can annul the agreement without statement of reasons by means of a written notification to Duyselshof within 14 weekdays after delivery as meant in article 7.3. Duyselshof does not charge any costs, however the Buyer does have to pay the costs involved with returning the Horse. Refunding of the money paid originally will take place as soon as possible, but in any case within 14 days after receipt of the written notification of annulment as mentioned. 


5. Payment
5.1.  Buyer must have made payment within 5 days after allocation at the latest. In case the Buyer should fail to comply to this obligation, Duyselshof is entitled not to recognize the bid and declare this invalid after which the purchased horse will again be free to be sold or alternatively the purchased horse is to be allocated to the second highest bidder. The Buyer shall in this case be considered to be in legal default and shall be liable to compensate Duyselshof for any damage incurred, without prejudice to any other rights that Duyselshof may have.

5.2.  The purchase price is calculated as follows: the final bid will be increased with the applicable VAT percentage. The purchase price is due immediately after completion of the auction.  Payment is to be made by bank transfer. Cash payment of the amount shall not be accepted. Settlement of any counter claims is excluded.

5.3.  Duyselshof is entitled to gather information on the financial situation of a Bidder and make participation in the Auction by, and conclusion of an agreement with, the Bidder concerned dependant on the information obtained.


6.Liability
6.1. The Horses offered in the Auction are identified by origin, gender, colour and year of birth. Duyselshof cannot be made liable with regard to the health status, the performance and/or the purpose of use of the Horses to be auctioned.

6.2.  On request a Bidder will have the opportunity to view and/or try a horse under supervision after an appointment has been made, also referred to as a try-out.

6.3.  Duyselshof cannot be held liable for damage to persons or properties arising prior to or during try-outs and after the Auction, except if such damage is caused by intent or deliberate recklessness on the part of Duyselshof or it’s subordinates.

6.4.  Horses that are sold by Auction had a radiographic test conducted at least two months prior to the auction. A standard clinical examination (for sport horses) has been completed at the latest two weeks prior to the auction.

6.5.  The veterinary findings can be provided prior to the Auction upon request of the Bidder and if desired a more detailed explanation can be provided by Mr. M. Aarts, the auction veterinarian, or his substitute./p>


7. Release, transfer of risk and ownership
7.1.  Immediately after Allocation of a Horse, any risks related to the purchased Horse shall be transferred to the Buyer and any responsibility and liability, as well as all risk factors are transferred to the respective Buyer. The Buyer shall indemnify Duyselshof from any claims related brought by third parties.

7.2.  The ownership of the purchased Horse passes to the Buyer at the time of release as defined in article 7.3 of the General Terms & Conditions, but not before the Buyer has settled the full purchase amount and any other amounts due to Duyselshof resulting from non-compliance.

7.3.  Release of the Horse purchased takes place by it’s delivery. Buyer is obliged to take possession the the purchased Horse at the location of Duyselshof in (5528 NB) Hoogeloon at the address Landrop 6 at a date and time as to be agreed on by parties involved. If requested by Duyselshof  a valid identity document has to be presented by Buyer. Delivery can take place after settlement of the purchase price in full and any other amount due by the buyer. In case the Buyer should refuse delivery or should fail to provide information or instructions required for delivery Duyselshof shall keep the horse in stables at the expense and risk of the Buyer. The Buyer then shall be obliged to compensate Duyselshof for any additional costs incurred, including stabling costs in any event.


8. Shortcomings
8.1.  In case the Buyer is a natural person, who acts for purposes not concerning his/her business or professional activity, and is of the opinion that the purchased Horse after delivery does not conform to the contract description, the Buyer will not be entitled to any recourse if he/she has not informed Duyselshof thereof by registered letter within two months after delivery.

8.2.  Duyselshof warrants that the Horse purchased by Buyer does not suffer from any stable vices such as cribbing, systematic weaving or wood chewing for a period of 48 hours after actual delivery, unless notified of such vices during the Auction in written.

8.3.  In case a veterinarian, registered as examination veterinarian for horses or equine veterinarian, reports in written that according to his/her expertly judgement one of the in article 8.2 mentioned vices existed before the date of actual delivery, the Buyer has the right to annul the purchase agreement and Buyer then only is entitled to reimbursement of the purchase price.


9. Applicable law and disputes
9.1.  The agreement is governed by Dutch law. 

9.2.  These General Terms & Conditions have been formulated in Dutch and English. In case there is any discrepancy between these versions, the Dutch version will prevail.

9.3.  The Vienna convention on contracts for the international Sale of movable goods dated April 11th 1980 (the Vienna Trade Treaty) is not applicable and herewith is expressly excluded.

9.4.  All disputes – between which included those that are only considered by one party as such – that arise with Duyselshof as a consequence of an Auction either as a result of these General Terms & Conditions, or as a result of the allocation or as a result of further agreements and other actions related to the allocation, will be judged by the ordinary civil court, in which case in first instance only the Court Oost-Brabant will be competent.

Duyselshof Auction Veilingvoorwaarden 2017
van de besloten vennootschap met beperkte aansprakelijkheid Stoeterij Duyselshof B.V., gevestigd te Hoogeloon (KvK nummer 22028794), gedeponeerd bij de Kamer van Koophandel.


1. Algemeen
1.1.  In deze Algemene Voorwaarden worden de volgende definities gehanteerd:
Algemene Veilingvoorwaarden: deze algemene veilingvoorwaarden die van toepassing zijn op alle veilingen via www.duyselshof.auction.
Bieder: de (rechts)persoon die zich op een door Duyselshof voorgeschreven wijze registreert of heeft geregistreerd op www.duyselshof.auction om deel te kunnen nemen aan een Veiling.
Bod: het door de Bieder op een Veiling voor een Paard geboden bedrag te vermeerderen met de belastingen en Veilingkosten (waaronder, maar niet beperkt tot de Veilingkosten en 21% BTW).
Duyselshof: Stoeterij Duyselshof B.V. en/of de aan haar gelieerde vennootschappen zoals vermeld op de veilingwebsite die de Veiling faciliteert.
Koper: de bieder aan wie Toewijzing heeft plaatsgevonden.
Paard: geïdentificeerd op afstamming, geslacht, kleur en geboortejaar, zoals op de Veiling worden aangegeven.
Toewijzing: de uitdrukkelijke verklaring van Duyselshof aan de Koper dat het Paard waarop door de Koper een Bod is uitgebracht aan de Koper is toegewezen. Deze verklaring geldt als een aanvaarding in de zin van artikel 6:217 Burgerlijk Wetboek.
Veiling: de online veiling via de veilingwebsite www.duyselshof.auction voor de verkoop van één of meerdere Paarden.
Veilingkosten: de kosten die een Koper aan Duyselshof verschuldigd is voor de deelname aan een Veiling en die staan vermeld op de website www.duyselshof.auction. Veilingmeester: de persoon die namens Duyselshof als veilingmeester (rechts)handelingen verricht.

1.2.  Duyselshof behoudt zich het recht voor deze Algemene Veilingvoorwaarden te wijzigen. Deze wijzigingen zullen onmiddellijk van kracht worden na de eerste publicatie op de website www.duyselshof.auction.

1.3.  Indien enige bepaling van deze Algemene Veilingvoorwaarden nietig is of vernietigd wordt, zullen de overige bepalingen van deze Algemene Veilingvoorwaarden van kracht blijven. Duyselshof zal de desbetreffende bepaling vervangen door een afdwingbare en uitvoerbare bepaling die, gegeven het doel en de strekking van deze Algemene Veilingvoorwaarden, zo min mogelijk afwijkt van de oorspronkelijke bepaling.

1.4.  Duyselshof is te allen tijde bevoegd haar rechten en/of verplichtingen onder de Overeenkomst en/of de rechten betreffende de Paarden geheel of gedeeltelijk (al dan niet door middel van contractsoverneming) te verkopen, over te dragen, te bezwaren of anderszins te vervreemden.


2. Toepasselijkheid Algemene Veilingvoorwaarden
2.1.  Deze Algemene Veilingvoorwaarden zijn van toepassing op alle Veilingen. Het deelnemen aan deze Veiling impliceert de uitdrukkelijke en voorbehoudsloze kennisname en aanvaarding van deze Algemene Veilingvoorwaarden. Afwijkingen en/of aanvullingen van deze Algemene Veilingvoorwaarden zijn slechts geldig indien deze uitdrukkelijk en schriftelijk tussen partijen zijn overeengekomen.

2.2.  Indien Bieder deelneemt aan een Veiling, erkent Bieder dat hij/zij deze Algemene Veilingvoorwaarden heeft ontvangen, begrepen en aanvaard. Op verzoek van de Bieder zullen deze Algemene Veilingvoorwaarden langs elektronische weg of op andere wijze kosteloos aan Bieder worden toegezonden.
 

3. Werking veilingsite
3.1.  De Bieder garandeert te allen tijde de juistheid en volledigheid van de door hem verstrekte gegevens. De gebruikersnaam en het wachtwoord waarvan de Bieder gebruikt maakt bij de Veiling zijn strikt persoonlijk en mogen niet door een Bieder aan derden worden overgedragen. Biedingen geschieden digitaal.

3.2.  Op de website wordt een indicatieve sluitingstijd voor de Veiling per Paard aangegeven. Wordt echter in de laatste 5 minuten vóór sluiting nog een Bod uitgebracht op een Paard, dan zal de Veiling betreffende dat Paard automatisch verlengd worden met 5 minuten. De verlengde tijd wordt de nieuwe indicatieve sluitingstijd.

3.3.  Een Bieder biedt voor eigen rekening en risico en zal aan zijn/haar Bod worden gehouden, totdat een eventueel hoger Bod volgt.

3.4.  Een Bieder kan zich bij het uitbrengen van een Bod niet beroepen op bied- of intoetsfouten of vergissingen.

3.5.  De Bieder aanvaardt de bijzondere omstandigheden die zich bij een Veiling kunnen voordoen, waaronder technische onvolkomenheden waardoor niet tijdig een Bod kan worden uitgebracht.

3.6.  Duyselshof is gerechtigd een Veiling te schorsen, op te schorten of te annuleren. Voorts kan Duyselshof gebruik maken van haar bevoegdheid een Veiling te verlengen.

3.7.  De Veiling staat onder toezicht van een door Duyselshof aan te wijzen Veilingmeester en beslecht in eerste en laatste aanleg alle betwistingen die tijdens de Veiling aangaande het veilen zouden kunnen ontstaan.


4. Totstandkoming overeenkomst
4.1.  Indien een Bieder een Bod uitbrengt, geldt dit Bod als een aanbod in de zin van artikel 7:217 BW. Een Bieder is gebonden aan een Bod dat als onherroepelijk en onvoorwaardelijk geldt. Iedere Bieder die een Bod uitbrengt wordt geacht voor zichzelf te bieden en is persoonlijk jegens Duyselshof gebonden, en na Toewijzing, aan de uit zijn/haar Bod voortvloeiende verplichtingen. Dit geldt ook indien een Bieder verklaart namens een derde te hebben gehandeld.

4.2.  De verkoop komt tot stand door middel van een Veiling en Toewijzing aan de hoogste Bieder na betaling van de koopsom, te verhogen met 21% btw en de Veilingkosten. De biedingen en betalingen geschieden in Euro.

4.3.  Ingeval de Koper een natuurlijk persoon is, die handelt voor doeleinden buiten zijn/haar bedrijfs- of beroepsactiviteit, mag de Koper zonder opgave van redenen de koop ontbinden door middel van een schriftelijke kennisgeving aan Duyselshof binnen 14 werkdagen na levering zoals bedoeld in artikel 7.3. Duyselshof brengt hiervoor geen kosten in rekening, maar de Koper moet wel de kosten van het terugbrengen van het Paard voor zijn/haar rekening nemen. De terugbetaling van het betaalde geld zal zo spoedig mogelijk gebeuren, maar in elk geval binnen 14 dagen na ontvangst van de hiervoor genoemde schriftelijke kennisgeving tot ontbinding.


5. Betaling
5.1.  Koper dient uiterlijk binnen 5 dagen na Toewijzing de koopsom te hebben voldaan. Indien de Koper hieraan niet voldoet, is Duyselshof gerechtigd de bieding niet te erkennen en ongeldig te verklaren en het gekochte Paard onderhands te verkopen, dan wel het gekochte Paard toe te wijzen aan de Bieder met het één na hoogste Bod. De Koper is in dat geval van rechtswege in verzuim en is gehouden de daardoor veroorzaakte schade aan Duyselshof te vergoeden, onverminderd de overige rechten van Duyselshof.

5.2.  De koopsom wordt als volgt berekend: het afslagbedrag wordt vermeerderd met het van toepassing zijnde BTW tarief. De koopsom is per direct opeisbaar. Betaling geschiedt per bank, het is niet mogelijk het rekening bedrag in contanten te voldoen. Verrekening van eventuele tegenvorderingen is uitgesloten.

5.3.  Het is Duyselshof toegestaan om informatie in te winnen omtrent de financiële gegoedheid van een Bieder en deelname aan de Veiling door en het sluiten van een overeenkomst met de betreffende Bieder afhankelijk te stellen van de ingewonnen informatie.


6. Aansprakelijkheid
6.1. De op de Veiling aangeboden Paarden worden geïdentificeerd op afstamming, geslacht, kleur en geboortejaar. Duyselshof kan niet aansprakelijk worden gesteld met betrekking tot de gezondheidstoestand, de prestaties en/of gebruiksdoeleinden van de te veilen Paarden.

6.2.  Op verzoek wordt een Bieder in de gelegenheid gesteld om op afspraak een Paard onder begeleiding te proberen, ook wel een try-out genoemd.

6.3.  Duyselshof is niet aansprakelijk voor schade aan personen of zaken, ontstaan voorafgaand aan, ten tijde van try-outs en na de Veiling, behoudens indien deze schade het gevolg is van opzet of bewuste roekeloosheid van Duyselshof of haar ondergeschikten.

6.4.  Paarden die via een Veiling worden verkocht hebben ten laatste 2 maanden voorafgaande aan de Veiling een röntgenologische keuring ondergaan. Een gebruikelijke klinische (sport-) paardenkeuring vindt ten laatste twee weken vóór de Veiling plaats.

6.5.  De veterinaire bevindingen kunnen voorafgaande aan de Veiling op verzoek van de Bieder worden ingezien of opgevraagd en desgewenst worden toegelicht door veilingdierenarts de heer M. Aarts of zijn plaatsvervanger.


7. Afgifte-, risico- en eigendomsoverdracht
7.1.  Direct na de Toewijzing van een Paard gaat het risico met betrekking tot het gekochte Paard over op de Koper en zijn alle verantwoordelijkheden en aansprakelijkheden, alsmede alle risicofactoren overgedragen aan de betreffende Koper. De Koper vrijwaart Duyselshof voor alle aanspraken van derden ter zake.

7.2.  Het eigendom van het gekochte Paard gaat over op de Koper op het moment van afname als bedoeld in artikel 7.3 van de Algemene Veilingvoorwaarden, doch niet eerder dan nadat Koper de volledige koopsom en eventuele op grond van niet-nakoming verschuldigde bedragen aan Duyselshof zal hebben voldaan.

7.3.  De levering van het gekochte Paard vindt plaats door de afname. De Koper is verplicht het gekochte Paard af te nemen bij Duyselshof te (5528 NB) Hoogeloon op het adres Landrop 6 op een door partijen overeen te komen datum en tijd. Koper dient zich op verzoek van Duyselshof te legitimeren. De afname kan plaatsvinden nadat de volledige koopsom en het overige verschuldigde door de Koper is voldaan. Indien de Koper de afname weigert of nalatig is met het verstrekken van informatie of instructies noodzakelijk voor de afname zal het gekochte Paard door Duyselshof worden gestald. De kosten hiervan komen voor rekening en risico van de Koper. De Koper is in dat geval verplicht alle aanvullende kosten, waaronder in ieder geval de stallingskosten, aan Duyselshof te vergoeden.


8. Tekortkomingen
8.1.  Indien de Koper een natuurlijk persoon is, die handelt voor doeleinden buiten zijn/haar bedrijfs- of beroepsactiviteit, en van oordeel is dat het gekochte Paard na feitelijke levering niet aan de overeenkomst beantwoordt, kan de Koper hierop geen beroep meer doen indien hij/zij niet binnen twee maanden na afname de Duyselshof daarvan in kennis heeft gesteld per aangetekende brief.

8.2.  Duyselshof garandeert dat het door de Koper gekochte Paard gedurende een periode van 48 uren na feitelijke levering niet lijdt aan de stalgebreken luchtzuigen, systematisch weven of kribbebijten, tenzij het stalgebrek tijdens de Veiling schriftelijk is medegedeeld.

8.3.  Indien een dierenarts, geregistreerd als keuringsdierenarts voor Paarden of paardendierenarts, schriftelijk mededeelt dat één van de in artikel 8.2 genoemde stalgebreken naar zijn deskundig oordeel bestond vóór de datum van feitelijke aflevering, heeft de Koper het recht de koopovereenkomst te ontbinden en heeft Koper enkel recht op vergoeding van de koopsom.


9. Toepasselijk recht en geschillen
9.1.  Op de Overeenkomst is Nederlands recht van toepassing.

9.2.  Deze algemene voorwaarden zijn in het Nederlands en in het Engels opgesteld. In het geval van enige discrepantie tussen deze versies, prevaleert de Nederlandse versie.

9.3.  Het Verdrag van Wenen inzake Internationale Koopovereenkomsten betreffende roerende producten van 11 april 1980 (Het Weens Koopverdrag) is niet van toepassing en wordt hierbij uitdrukkelijk uitgesloten.

9.4.  Alle geschillen – daaronder begrepen die, welke slechts door één der partijen als zodanig worden beschouwd – welke naar aanleiding van een Veiling ofwel naar aanleiding van deze Algemene Veilingvoorwaarden met Duyselshof ontstaan, danwel naar aanleiding van de Toewijzing dan wel van nadere overeenkomsten en andere handelingen in samenhang met de Toewijzing, worden beslecht door de gewone burgerlijke rechter, in welk geval in eerste aanleg uitsluitend de rechtbank Oost-Brabant bevoegd is.
